I. Introduction

This Terms of Use Agreement ("Agreement") is a legally binding contract between you ("User" or "You") and Applywise Ltd. ("Company", "We", "Us"), governing your use of the Lexri AI mobile application ("App"). This document, along with any additional policies and guidelines referenced herein, sets forth the terms under which you may access and use the App. By downloading, installing, or using the App, you affirm your acceptance of this Agreement and agree to adhere to its terms. If you do not agree to these terms, you are not authorized to access or use the App, and you must immediately uninstall it from your devices.

Your use of the App signifies your understanding and agreement that the contract is binding and enforceable against you in accordance with its terms. The App is designed to provide an interactive platform for users, leveraging artificial intelligence for various functionalities. It is crucial that you review this Agreement carefully before proceeding to use the App, as it outlines your legal rights and obligations.

II. Changes to This Agreement

Applywise Ltd. reserves the unilateral right to update or modify this Agreement at any moment, with or without direct notification to you. Such modifications may reflect changes in legal requirements, new features, or adjustments in business practices. The most current version of the Agreement will always be accessible within the App or via our official website. Your continued use of the App after any changes have been made constitutes your acceptance of the revised Agreement. We encourage you to review this Agreement periodically to ensure you are informed of any updates. Your responsibility to stay informed about these changes is paramount, as they may impact your rights or obligations regarding the use of the App.

III. Restrictions on Who Can Use the App

The Lexri AI App is intended for use primarily by individuals who are at least 18 years of age. Minors aged between 13 and 17 may use the App only under the supervision and consent of a parent or guardian. By using the App, users under the age of 18 confirm that they have obtained such consent and that their parent or guardian has agreed to this Agreement on their behalf.

Access to the App by children under the age of 13 is strictly prohibited. Users affirm their age during the registration process, and Applywise Ltd. trusts in the accuracy of this information. It is the responsibility of parents or guardians to monitor their children's use of the App and to ensure that all use is in compliance with these terms.

We may implement additional verification processes to confirm users' ages and reserve the right to suspend or terminate accounts if we discover usage by individuals under the permitted age without appropriate consent.

IV. General Terms

Lexri AI, developed by Applywise Ltd., is designed to serve as an interactive platform utilizing advanced artificial intelligence (AI) technologies. The App offers users a unique blend of entertainment and utility, including but not limited to, engaging in AI-powered conversations and receiving AI-generated summaries of PDF documents. These services are intended to enhance your daily digital interactions and provide insightful content through a user-friendly interface.

While the App strives to deliver a high-quality user experience, it is important for users to understand that the App's AI functionalities are provided for informational and entertainment purposes only. Users should exercise judgment and discretion in their reliance on any information or content generated through the App.

By agreeing to these terms, you acknowledge that the App's capabilities are subject to change, enhancement, or modification over time as we continue to improve its features and functionalities in line with technological advancements and user feedback.

V. Privacy Policy

At Applywise Ltd., we are committed to protecting your privacy and handling your data with transparency and respect. Our Privacy Policy, which is incorporated into this Agreement by reference, outlines the manner in which we collect, use, process, and store your personal information through your use of Lexri AI.

By accepting this Agreement and using the App, you also agree to our Privacy Policy. This includes our practices for data collection, such as the information you provide when creating an account, the data generated through your use of the App, and how this information is used to improve your user experience. We are dedicated to ensuring that your personal data is protected in accordance with applicable laws and regulations.

We encourage you to review our Privacy Policy in detail, which is available within the App and on our website, to understand your rights and our obligations. If you have any concerns or questions regarding our data practices, you are encouraged to contact us directly.

VI. End User License Agreement; Rules and Regulations Applicable to User Content

This section of the Agreement sets forth the terms under which you may use Lexri AI and interact with its content, including any text, images, or data you provide ("User Content") and the intellectual property rights pertaining to the App itself.

License Grant: Applywise Ltd. grants you a non-exclusive, non-transferable, revocable license to access and use Lexri AI for your personal, non-commercial purposes, subject to the terms of this Agreement. This license does not grant you any rights to use the App’s software, its design, any underlying technology, or any content owned by Applywise Ltd. or its licensors for any commercial purposes without prior written consent.

User Content: This includes Input Content by the user and the Output Content by our app. You retain ownership over any User Content you submit through the App. However, by submitting User Content, you grant Applywise Ltd. a worldwide, perpetual, royalty-free license to use, copy, modify, distribute, and display such content in connection with providing and promoting the App. You are responsible for ensuring that your User Content complies with all applicable laws and does not infringe on any third-party rights.

Prohibited Uses: You may not use the App to create, upload, transmit, or share content that is illegal, offensive, defamatory, infringing upon intellectual property rights, or otherwise harmful. Applywise Ltd. reserves the right to remove any content that violates these terms or the law and to suspend or terminate the accounts of users involved in such violations.

Third-Party APIs and Content: The App may integrate with third-party services and APIs for enhanced functionality. By using these features, you agree to comply with the terms and conditions of these third-party services and acknowledge that Applywise Ltd. is not responsible for the content or services provided by third parties.

VII. Prohibited Behavior

The integrity and safety of our community and platform are paramount. As such, users of Lexri AI are strictly prohibited from engaging in behavior that is harmful, illegal, or violates the rights of others. This includes, but is not limited to:

Illegal Activities: Any use of the App to facilitate illegal actions or transactions is prohibited.

Harassment and Abuse: Engaging in harassment, bullying, or any form of abuse towards other users is not tolerated.

Intellectual Property Violations: Uploading, sharing, or distributing content that infringes on someone else's intellectual property rights is strictly forbidden.

Malicious Software: Distributing viruses, spyware, malware, or any other harmful code through the App is prohibited.

Privacy Violations: Attempting to collect or disseminate personal information about other users without their explicit consent is not allowed.

Impersonation: Misrepresenting your identity or affiliating with another person or entity in a manner intended to deceive is prohibited.

Violations of these guidelines may result in the suspension or termination of your account, legal action, and cooperation with law enforcement authorities in any investigation.

We encourage all users to report any observed prohibited behavior through the App's reporting mechanisms or by contacting our support team directly.

VIII. Availability of the App, Security, and Accuracy

Applywise Ltd. strives to ensure that Lexri AI is accessible to users at all times and functions securely and accurately. However, the following terms apply:

Availability: While we aim to provide uninterrupted access to the App, availability may be affected by factors outside our control, such as maintenance, network issues, or hardware failures. We reserve the right to modify or discontinue, temporarily or permanently, any feature or functionality of the App without notice.

Security: We take reasonable measures to protect the App and its users from unauthorized access, alteration, disclosure, or destruction of information we hold. However, no internet or email transmission is ever fully secure or error-free. Users should take care with how they handle and disclose their personal information and avoid sending personal information through insecure channels.

Accuracy: The App relies on artificial intelligence and other technologies that are inherently subject to limitations and inaccuracies. While we strive to provide accurate and up-to-date information, errors may occur. Applywise Ltd. disclaims any responsibility for the accuracy, completeness, or reliability of any data, information, or content generated through the use of the App.

Users are responsible for ensuring their devices and access methods meet the necessary requirements and security standards to use the App effectively and safely.

IX. Charges

Lexri AI by Applywise Ltd. is accessible under a freemium model, where users can enjoy basic features at no cost, with the option to subscribe to premium features for an enhanced experience. Here are the terms regarding charges:

Basic Access: Users can download and use the App without charge, accessing its core functionalities.

Premium Subscriptions: For access to advanced features, users can opt for a subscription-based premium service. Details regarding subscription options, including costs, duration, and specific features unlocked by each plan, are provided within the App and on our website.

Free Trials: From time to time, we may offer free trials for our premium services. Unless canceled at least 24 hours before the trial period ends, the subscription will automatically renew as a paid subscription.

Subscription Management: Users can manage their subscriptions and may turn off auto-renewal by going to their Account Settings after purchase. Any unused portion of a free trial period, if offered, will be forfeited when the user purchases a subscription to that publication, where applicable.

Changes to Subscription Fees: Applywise Ltd. reserves the right to modify subscription fees or introduce new charges at any time, upon reasonable advance notice to users, which may be sent by email or posted within the App or on our website.

X. Third-Party Websites and Resources

Lexri AI may provide links to third-party websites, services, and resources that are not owned or controlled by Applywise Ltd. These links are offered for your convenience and do not imply an endorsement of the content, nor do we assume any responsibility for the accuracy, legality, or content of these external sites or for that of subsequent links.

Interaction with Third-Party Resources: When you access third-party resources on the Internet, you do so at your own risk. These resources are subject to their own terms of use and privacy policies, and we encourage you to review them.

No Liability: Applywise Ltd. shall not be liable for any loss or damage incurred as the result of your dealings with third-party websites, services, or resources, including your participation in promotions, the purchase of goods or services, and any other terms, conditions, warranties, or representations associated with such dealings.

User Discretion: Exercise caution and use your judgment when interacting with third-party sites or services linked through the App. We do not guarantee the content or services provided by these third parties and disclaim all liability related to your use of them.

XI. Disclaimer of Warranties

Applywise Ltd. provides Lexri AI and all related services "as is" and "as available," without any warranty of any kind, expressed or implied. To the fullest extent permissible pursuant to applicable law, Applywise Ltd. disclaims all warranties, expressed or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantees: We do not guarantee that the App or any content, services, or features of the App will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the App will provide specific results.

Use at Your Own Risk: The App and its content are delivered on an "as-is" and "as-available" basis. All information provided on the App is subject to change without notice. Applywise Ltd. cannot ensure that any files or other data you download from the App will be free of viruses or contamination or destructive features.

Disclaimers: Applywise Ltd. disclaims all liability for any acts, omissions, and conduct of any third parties in connection with or related to your use of the App. You assume total responsibility for your use of the App and any linked sites.

Your sole remedy against Applywise Ltd. for dissatisfaction with the App or any content is to stop using the App or any such content.

XII. Limitation of Liability; Indemnification

Limitation of Liability: To the fullest extent permitted by applicable law, Applywise Ltd. and its officers, directors, employees, or agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Lexri AI App; (ii) any conduct or content of any third party on the App; (iii) any content obtained from the App; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

Indemnification: You agree to defend, indemnify, and hold harmless Applywise Ltd., its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement or your use of Lexri AI, including, but not limited to, your User Content, any use of the App's content, services, and products other than as expressly authorized in this Agreement or your use of any information obtained from the App.

XIII. Legal Compliance

You affirm and warrant that your use of Lexri AI will be in strict compliance with all applicable laws and regulations, including but not limited to regulations governing online conduct and acceptable content, the protection of intellectual property, data privacy, and the export of data or software to and from the United Kingdom or your country of residence.

International Use: You agree to comply with all local laws regarding online conduct and acceptable content. Specifically, you commit to comply with all applicable laws regarding the transmission of technical data exported from the country in which you reside.

Prohibited Users: You represent and warrant that you are not located in a country that is subject to a U.K. Government embargo, or that has been designated by the U.K. Government as a "terrorist supporting" country, and that you are not listed on any U.K. Government list of prohibited or restricted parties.

This commitment to legal compliance ensures the safe and lawful use of the App, safeguarding both you and Applywise Ltd. against legal risks and liabilities.

XIV. Third-Party Beneficiary

Apple Inc., Google LLC, and any other platform provider from which you have downloaded the Lexri App (each a "Platform Provider") are third-party beneficiaries of this Agreement. Upon your acceptance of the terms and conditions of this Agreement, the Platform Provider will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

Platform-Specific Terms: In the event of a conflict between the terms of this Agreement and the terms provided by any Platform Provider, the Platform Provider's terms shall govern and control.

Access Rights: The Platform Providers have no obligation whatsoever to furnish any maintenance and support services with respect to Lexri AI.

This acknowledgement does not imply any endorsement, support, or guarantee by the Platform Providers of Lexri AI or its content, but rather ensures compliance with the terms required by these third-party platforms.

XV. Governing Law and Claims

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any choice or conflict of law provision or rule.

Jurisdiction: Any legal suit, action, or proceeding arising out of, or related to this Agreement or Lexri AI shall be instituted exclusively in the courts of England and Wales, although we retain the right to bring any suit, action, or proceeding against you for breach of this Agreement in your country of residence or any other relevant country.

Dispute Resolution: You agree that before filing any claim against Applywise Ltd., you will attempt to resolve the dispute informally by contacting us. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Applywise Ltd. may bring a formal proceeding.

This section ensures that both parties agree to the jurisdiction and the governing laws, providing a clear framework for resolving disputes.

XVI. Termination

This Agreement is effective until terminated by either you or Applywise Ltd. You may terminate this Agreement at any time by uninstalling Lexri AI and ceasing all use of our services.

Applywise Ltd. may terminate this Agreement at any time without notice if, in our sole judgment, you breach any term or provision of this Agreement. Upon termination, all rights granted to you under this Agreement will terminate immediately.

Consequences of Termination: Upon termination of this Agreement for any reason, you must cease all use of Lexri AI and delete all copies of the App installed on your devices. Termination of the Agreement will not affect any of our rights or your obligations arising before the termination.

Survival: Provisions of this Agreement that, by their nature, should survive termination will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

XVII. Severability

If any provision of this Agreement is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. The invalid or unenforceable provision will be replaced by a valid and enforceable provision that most closely matches the intent of the original provision.
